Welcome to BrandCohere Designs ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, Shopify storefront, Beacons portal, digital products, automated spreadsheets, consultation services, and technical integrations (collectively, the "Services").

By accessing, browsing, purchasing from, or booking services through BrandCohere Designs, you agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you do not agree to all of these Terms, you are expressly prohibited from using our Services and must discontinue use immediately.

1. Eligibility & Account Responsibilities

  • Age Requirement: By using our Services, you represent and warrant that you are at least the age of majority in your jurisdiction of residence and possess the legal authority to enter into binding contracts.

  • Account Security: To access certain digital downloads or services, you may be required to register an account or provide diagnostic information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at inquiry@brandcohere.ca of any unauthorized account access.

2. Digital Products & Intellectual Property Rights

All original content, features, formulas, custom code, spreadsheets, visual designs, UI/UX layouts, branding elements, templates, workflows, and documentation provided through our Services are the exclusive intellectual property of BrandCohere Designs and are protected by international copyright, trademark, and trade secret laws.

  • Single-User Digital License: When you purchase a digital product, template, or automated system from BrandCohere Designs, you are granted a non-exclusive, non-transferable, revocable, single-user license to use the asset for your internal business operations only.

  • Prohibited Uses: You may not:

    • Resell, redistribute, license, sublicense, share, rent, lease, or publicly post any file, template, or custom formula provided by us.

    • Extract, reverse-engineer, decompile, or copy our underlying formula logic, scripts, or operational databases to create derivative competing products.

    • Share account login details, drive links, or access permissions with third parties or outside team members beyond what is strictly required for your internal business workflow.

3. Strategic Consultations & Done-For-You (DFY) Services

  • Mandatory Diagnostic Scope: Purchases of certain technical systems require a prior or accompanying 1:1 consultation to ensure proper software stack alignment and configuration.

  • Client Obligations & Access: For custom backend automation, Zapier setup, or software integrations (e.g., Shopify, Beacons, Zoho), you agree to provide timely, accurate, and secure administrative access, API keys, and account permissions.

  • Client Delays: BrandCohere Designs is not liable for project delays resulting from client non-responsiveness, failure to provide required account credentials, or sudden third-party platform configuration changes made by the client without prior notice.

  • Scope Creep: Any requests for additional features, extra automated triggers, or formula modifications outside the original agreed-upon consultation or service scope will require a separate quote and fee.

4. Payments, Billing, & Strict No-Refund Policy

  • Payment Processing: Payments are processed securely through Shopify, Beacons, or authorized third-party gateways. You agree to provide current, complete, and accurate purchase and financial account information.

  • All Sales Are Final: Due to the instant delivery of digital products and the reserved professional time allocated for strategic services, all purchases, service bookings, and digital downloads are strictly non-refundable and non-exchangeable. Please refer to our full Refund Policy for specific terms regarding rescheduling and file replacement.

  • Chargebacks & Payment Disputes: Unilateral chargebacks or fraudulent payment disputes initiated with your bank or credit card company will be contested vigorously using full access logs, IP tracking, time-stamped delivery receipts, and signed agreement records. Upon initiation of a chargeback, all digital access licenses and services will be revoked immediately.

5. Third-Party Software & Stack Dependencies

Our Services may require integration with, or reliance upon, third-party software platforms (e.g., Google Workspace, Shopify, Zoho, Beacons, Zapier, Canva).

  • Platform Changes: BrandCohere Designs is not responsible for service interruptions, broken automations, or formula errors resulting from updates, API changes, downtime, price increases, or account terminations imposed by third-party platforms.

  • Third-Party Subscriptions: You are solely responsible for acquiring, paying for, and maintaining active paid subscriptions for any third-party tools required to run your custom backend or templates.

6. Disclaimer of Warranties

The Services, digital products, and consultation insights are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

  • While our systems are engineered for high-functioning business efficiency, BrandCohere Designs does not guarantee specific revenue growth, conversion rates, or financial outcomes as a result of implementing our templates or advice.

  • We do not warrant that our digital assets will be uninterrupted, error-free, or entirely secure from unauthorized third-party interference, though we implement industry-standard safeguards.

7. Limitation of Liability

To the maximum extent permitted by applicable law, BrandCohere Designs, its founder, officers, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including loss of revenue, lost data, business interruption, or system failure—arising out of or in connection with your use of, or inability to use, our Services or digital products.

In no event shall our total aggregate liability exceed the total amount paid by you to BrandCohere Designs for the specific product or service giving rise to the claim in the twelve (12) months preceding the event.

8. Indemnification

You agree to defend, indemnify, and hold harmless BrandCohere Designs and its affiliates from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, unauthorized sharing of our digital property, or misuse of our Services.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action, suit, or proceeding arising out of these Terms shall be brought exclusively in the courts located in Ontario, Canada.

10. Severability & Modifications

  • Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

  • Updates to Terms: We reserve the right to modify or update these Terms at any time. Changes will take effect immediately upon posting to our website. Your continued use of our Services following any updates constitutes acceptance of those changes.
